1. About These Terms
This website is operated by Boxhill & Co., LLC, doing business as BOXHILL. Throughout these Terms & Conditions, the terms “BOXHILL,” “we,” “us,” and “our” refer to Boxhill & Co., LLC.
These Terms & Conditions govern:
Your access to and use of shopboxhill.com and related BOXHILL webpages, content, tools, and services;
- Purchases made through our website;
- Orders placed with BOXHILL by telephone or email when these Terms are provided or incorporated by reference;
- Quotes, invoices, proposals, and order confirmations that reference these Terms; and
- Related customer-service interactions concerning those purchases.
By accessing or using our website, you agree to the website-use provisions of these Terms. By placing an order, accepting a quote, submitting payment, or otherwise purchasing products or services after being provided with these Terms, you agree to the purchase provisions of these Terms.
If you are purchasing on behalf of a company, design firm, hospitality property, commercial entity, or other organization, you represent that you are authorized to bind that organization to these Terms.
BOXHILL specializes in outdoor furniture, fire features, planters, lighting, accessories, and related products sourced from multiple independent manufacturers. Many of the products we sell are made to order, configured for an individual customer, composed of natural or handmade materials, and delivered by freight. These Terms explain the responsibilities associated with those types of purchases.
The following policies are incorporated into these Terms by reference:

- Privacy Policy
- Any product-specific care instructions, specifications, or written manufacturer warranty provided or linked before purchase
Separate landscape design, design consulting, procurement, installation, or other professional services provided under an individually signed proposal or service agreement are governed by that agreement. If a signed agreement, accepted quote, order confirmation, or product-specific term conflicts with these general Terms, the more specific transaction document will control for that transaction.
2. Eligibility, Accounts + Customer Information
You must be at least the age of legal majority in your state of residence to place an order with BOXHILL. BOXHILL reserves the right to refuse service to any customer for any reason.
You agree to provide current, complete, and accurate information when creating an account, requesting a quote, placing an order, or communicating with us. This includes your:
- Name;
- Email address;
- Telephone number;
- Billing address;
- Shipping address;
- Delivery contact information;
- Payment information; and
- Any information concerning delivery access or site conditions that may affect fulfillment.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. Please notify us promptly if you believe your account or payment information has been used without authorization.
Providing incomplete, inaccurate, or outdated information may delay production, shipping, delivery, or resolution of a customer-service request. Additional expenses resulting from incorrect customer-supplied information may be charged to the customer to the extent permitted by law.
3. Orders + Order Acceptance
Submitting an order to BOXHILL constitutes an offer to purchase the listed products or services under these Terms. An automated website confirmation, payment authorization, or acknowledgment email confirms only that we received the order. It does not necessarily mean that the order has been accepted, approved by the manufacturer, or released for production or shipment.
An order is accepted when BOXHILL does one of the following:
- Sends written confirmation that the order has been approved and accepted;
- Releases a made-to-order or special-order product to the manufacturer;
- Begins providing an individually authorized service; or
- Ships an in-stock product.
Before accepting an order, BOXHILL may verify:
- Product availability;
- Manufacturer acceptance;
- Pricing;
- Selected finishes, fabrics, dimensions, and configurations;
- Freight and delivery availability;
- Payment authorization;
- Shipping location;
- Suspected fraud or unauthorized activity;
- Product discontinuation; and
- Any other information reasonably necessary to fulfill the order.
We may decline, limit, or cancel an order before acceptance for legitimate business reasons, including product unavailability, incorrect pricing, manufacturer discontinuation, inability to deliver to the requested location, suspected fraud, unauthorized resale, or an error in product configuration.
If BOXHILL cancels an order before acceptance after collecting payment, we will refund the amount paid for the canceled item or service.
If we are unable to fulfill an accepted order, we may cancel the affected item and issue an appropriate refund. We will not knowingly substitute materially different merchandise without the customer’s approval.
Customer Review of Order Details
Before submitting or approving an order, the customer is responsible for reviewing all relevant information, including:
- Product name and model;
- Quantity;
- Dimensions;
- Finish;
- Frame color;
- Fabric;
- Cushion selection;
- Orientation;
- Configuration;
- Fuel type;
- Electrical requirements;
- Accessories;
- Shipping address;
- Delivery service level; and
- Site and access requirements.
Please notify BOXHILL immediately if an order acknowledgment contains an error. Changes requested after an order has been accepted or released may not be possible.
4. Pricing, Quotes, Payment, Taxes + Tariffs
Unless otherwise stated, prices are listed in U.S. dollars.
Product pricing may not include:
- Shipping or freight charges;
- White-glove delivery;
- Assembly;
- Installation;
- Storage;
- Redelivery;
- Sales tax;
- Use tax;
- Duties;
- Government assessments;
- Permits; or
- Other transaction-specific costs.
Any applicable charges will be displayed at checkout, identified in a quote or invoice, or communicated before final order acceptance when reasonably possible.
Quotes
A quote is valid for the period stated on the quote. If no expiration period is stated, the quote remains subject to product availability, manufacturer pricing, freight pricing, taxes, tariffs, and other costs in effect when the order is accepted.
A quote does not reserve inventory or production capacity unless BOXHILL confirms otherwise in writing.
Pricing Errors
Although we make reasonable efforts to maintain accurate pricing, typographical errors, data-feed errors, manufacturer errors, outdated pricing, and other inaccuracies may occur.
If an advertised or quoted price is materially incorrect, BOXHILL may correct the error before accepting the order. We will notify the customer of the corrected price and allow the customer to approve the revised order or cancel the affected item.
BOXHILL is not obligated to fulfill an order at an obviously or materially incorrect price caused by a genuine error.
Manufacturer Price Changes, Tariffs + Surcharges
Product costs may be affected by manufacturer price adjustments, tariffs, duties, raw-material costs, fuel charges, freight surcharges, or other costs outside BOXHILL’s control.
If a material price change occurs before an order is accepted or released to the manufacturer, BOXHILL will notify the customer before proceeding. The customer may approve the revised price or cancel the affected item.
Once an order has been accepted, the agreed price will not be increased except for:
- Customer-approved changes;
- Additional services requested by the customer;
- Taxes, duties, or government charges required by law; or
- Adjustments expressly stated in the accepted order documents and approved by the customer.
Payment
Payment terms stated at checkout or in the applicable quote, invoice, or order confirmation will control.
Depending on the product or transaction, BOXHILL may require:
- Payment in full;
- A deposit;
- A balance before release;
- A balance before shipment; or
- Another agreed payment schedule.
Failure to pay an amount when due may delay production or shipment and may result in cancellation to the extent permitted by the applicable order documents and law.
By submitting payment information, you represent that:
- You are authorized to use the selected payment method;
- The information is accurate; and
- You authorize BOXHILL and its payment processors to charge the applicable amount.
We may cancel or hold an order if payment cannot be verified or if we reasonably suspect fraud or unauthorized activity.
Taxes
Customers are responsible for applicable sales, use, excise, or similar taxes unless a valid exemption applies.
Tax-exempt customers must provide current and legally sufficient exemption documentation before the order is finalized. BOXHILL is not obligated to refund tax collected before valid documentation was provided unless required by law.
5. Made-to-Order, Customer + Special-Order Products
Many BOXHILL products are manufactured or configured specifically for an individual customer. These may include products involving:
- Custom fabrics;
- Customer-selected fabrics;
- Customer’s own material or leather;
- Frame finishes;
- Powder-coat colors;
- Wood finishes;
- Cushion fills;
- Product dimensions;
- Modular configurations;
- Left- or right-facing orientations;
- Fuel types;
- Custom covers;
- Custom graphics;
- Special quantities; or
- Other nonstandard selections.
Products may be identified as made to order, custom, special order, non-stock, final sale, or nonreturnable on the product page, quote, invoice, order confirmation, or Return Policy.
Final Approval
The customer is responsible for reviewing and approving all selections before the order is released.
Once a made-to-order, custom, or special-order product has been accepted and released to the manufacturer:
- The order may not be canceled;
- Selections may not be changed;
- Deposits or payments may become nonrefundable;
- The product may not be eligible for return; and
- Manufacturer cancellation or change fees may apply.
BOXHILL will attempt to accommodate a requested change when reasonably possible, but we cannot guarantee that a manufacturer will accept a change after release.
Any approved change may result in:
- Additional charges;
- A revised production schedule;
- A new shipping estimate; or
- A requirement for written approval and additional payment before proceeding.
Customer’s Own Material or Leather
Customer-supplied fabric, leather, trim, or other material may be subject to manufacturer approval, testing, additional yardage requirements, backing requirements, cutting direction, repeat allowances, and handling charges.
BOXHILL and the manufacturer are not responsible for delays, shortages, defects, fading, performance issues, dye variation, or other problems caused by customer-supplied material, except to the extent resulting from BOXHILL’s or the manufacturer’s handling of that material.
Legally Required Cancellation Rights
The made-to-order or noncancelable status of a product does not eliminate any cancellation or refund right that cannot legally be waived, including rights that may apply when shipment is delayed beyond a represented shipping period.
6. Product Information, Photography + Specifications
BOXHILL makes reasonable efforts to provide accurate product descriptions, images, dimensions, specifications, pricing, and availability information.
Much of this information is provided by independent manufacturers. Manufacturers may update product specifications, construction details, materials, dimensions, finishes, or availability.
Minor, nonmaterial manufacturer changes may occur without notice. If we become aware of a material change that affects an accepted but unfulfilled order, we will communicate with the customer and determine an appropriate path forward.
Photography + Color Representation
Product photography, finish samples, fabric samples, digital renderings, and screen images are intended to provide a reasonable representation of the product. They may not reproduce exact color, texture, scale, sheen, grain, or surface appearance.
Appearance can be affected by:
- Screen settings;
- Device type;
- Lighting;
- Camera exposure;
- Photography editing;
- Surrounding materials;
- Dye lots;
- Production batches; and
- Natural variation.
Lifestyle photography may include accessories, cushions, covers, decorative objects, fire media, bases, umbrellas, or other components that are not included unless expressly identified in the product description or order.
Dimensions + Manufacturing Tolerances
Product dimensions are generally approximate and may vary within reasonable manufacturing tolerances.
Handmade, upholstered, woven, molded, cast, fired, or natural-material products may vary slightly in:
- Height;
- Width;
- Depth;
- Weight;
- Cushion loft;
- Seam alignment;
- Pattern placement;
- Surface texture;
- Shape; and
- Other dimensions or details.
These reasonable variations are not necessarily defects.
7. Natural Materials, Handmade Products + Outdoor Aging
Many BOXHILL products are made from natural, handmade, artisanal, cast, woven, fired, or individually finished materials.
Variations may occur in:
- Wood grain;
- Knots;
- Checking;
- Color;
- Texture;
- Stone veining;
- Mineral deposits;
- Porosity;
- Concrete pigment;
- Pinholes;
- Air pockets;
- Cast lines;
- Weld marks;
- Glaze;
- Patina;
- Hand-applied finishes;
- Weave;
- Hand-forged details;
- Hammering;
- Brush marks;
- Fabric weave;
- Pattern alignment; and
- Handmade dimensions.
These characteristics are often inherent to the material or production method and may contribute to the individual character of the product. Reasonable natural or handmade variation is not considered damage or a manufacturing defect.
Samples
Wood, stone, concrete, metal, fabric, finish, and powder-coat samples are representative only. The completed product may not match a sample exactly.
Products ordered at different times may come from different dye lots, material lots, or production batches and may vary from one another.
Outdoor Exposure + Weathering
Outdoor-rated products are designed for outdoor use, but “outdoor-rated” does not mean maintenance-free, weatherproof under every condition, or immune to aging.
Depending on the material and environment, outdoor products may experience:
- Fading;
- Patina;
- Oxidation;
- Weathering;
- Checking;
- Expansion and contraction;
- Surface marks;
- Mineral deposits;
- Water spotting;
- Mildew;
- Rust staining;
- Fabric wear;
- Cushion compression;
- Finish changes; and
- Other effects of exposure and use.
Sunlight, salt air, chlorine, hard water, irrigation overspray, freeze-thaw conditions, extreme heat, high winds, humidity, standing water, and inadequate maintenance may accelerate these changes.
Normal weathering, expected aging, ordinary wear, and failure to follow care instructions are not manufacturing defects.
8. Measurements, Site Conditions + Product Suitability
Before ordering, the customer is responsible for confirming that the selected product is appropriate for the intended site, use, climate, and delivery path.
This includes verifying, where applicable:
- Overall product dimensions;
- Doorway widths;
- Hallways;
- Stairways;
- Elevators;
- Gates;
- Courtyards;
- Driveways;
- Turning radii;
- Delivery clearances;
- Weight restrictions;
- Floor or deck capacity;
- Pool ledge dimensions;
- Pool water depth;
- Utility locations;
- Fuel type;
- Gas pressure;
- Electrical requirements;
- Plumbing;
- Ventilation;
- Required safety clearances;
- Surface levelness;
- Drainage;
- Anchoring requirements;
- Local building and fire codes; and
- Applicable permits.
BOXHILL may provide product knowledge, dimensions, general recommendations, or design assistance. Unless provided under a separate signed professional-services agreement, this assistance does not transfer responsibility for final field measurements, engineering, construction, code compliance, installation, or site suitability to BOXHILL.
Residential + Commercial Use
Not every product is rated or warranted for commercial, hospitality, multifamily, public, or other high-use environments.
A customer purchasing for commercial use is responsible for confirming that the product is suitable and appropriately rated for that application. A manufacturer’s residential warranty may not apply to commercial use.
Commercial customers should identify the intended use before purchase so BOXHILL can help evaluate available product information.
9. Assembly, Installation, Safety + Product Care
Unless expressly included in the order, product pricing does not include assembly, installation, structural attachment, anchoring, utility connection, site preparation, permitting, removal of existing items, debris removal, or packaging disposal.
White-glove or placement service includes only the services specifically described in the applicable quote or Shipping Policy.
Professional Installation
Products involving gas, propane, electricity, plumbing, structural anchoring, fire, heat, water, or other regulated systems must be installed by appropriately qualified and licensed professionals where required.
The customer and installer are responsible for:
- Permits;
- Inspections;
- Local codes;
- Utility verification;
- Required clearances;
- Ventilation;
- Shutoff access;
- Substrate preparation;
- Anchoring;
- Drainage; and
- Safe operation.
BOXHILL is not responsible for damage, malfunction, code violations, or unsafe conditions caused by incorrect assembly, improper installation, incompatible utilities, site conditions, unauthorized modification, or failure to follow manufacturer instructions.
Wind + Severe Weather
Umbrellas, cantilevers, cabanas, screens, lightweight furniture, covers, accessories, and other wind-sensitive products must be closed, secured, stored, or protected as directed by the manufacturer.
No umbrella or wind-sensitive product should be left open or unsecured during high winds, severe weather, or unattended conditions.
Damage caused by wind, storms, flooding, freezing, wildfire, excessive heat, falling objects, or other environmental events may not be covered by a manufacturer warranty.
Care + Maintenance
Customers are responsible for reviewing and following all applicable care, cleaning, maintenance, storage, winterization, cover, and protection instructions.
Use of improper chemicals, pressure washing, abrasive cleaners, incompatible covers, standing water, unapproved sealers, or other improper care may damage a product and may affect warranty eligibility.
10. Availability, Production Lead Times + Delays
Product availability and lead times may vary by manufacturer, material, finish, season, production schedule, and shipping destination.
Unless expressly stated otherwise in a signed agreement, all production, shipping, transit, and delivery dates are estimates rather than guaranteed completion or delivery dates.
A stated lead time may begin only after:
- Payment or deposit has cleared;
- All selections have been approved;
- The manufacturer has accepted the order;
- Customer-supplied material has been received and approved;
- Required drawings or shop drawings have been approved; and
- Any requested changes have been resolved.
Production lead time is separate from freight transit time and final delivery scheduling.
Causes of Delay
Delays may result from circumstances including:
- Manufacturer production schedules;
- Material shortages;
- Fabric or finish availability;
- Vendor backorders;
- Labor disruptions;
- Carrier availability;
- Port congestion;
- Customs;
- Tariffs or government action;
- Weather;
- Natural disasters;
- Public emergencies;
- Freight damage;
- Transportation disruptions;
- Strikes;
- Utility failures;
- Supplier delays; and
- Other events outside BOXHILL’s reasonable control.
Delay Notices + Customer Options
BOXHILL will make reasonable efforts to communicate material delays when we receive reliable information from the manufacturer or carrier.
When applicable law requires us to provide a revised shipping estimate, obtain consent to a delay, offer cancellation, or issue a refund for unshipped merchandise, we will provide those options as required by law.
Nothing in these Terms eliminates a customer’s legally protected right to cancel delayed, unshipped merchandise and receive a prompt refund when such a right applies.
Discontinued or Unavailable Products
If a manufacturer discontinues or becomes unable to supply an ordered product, finish, material, fabric, or configuration, BOXHILL may:
- Offer a comparable alternative for the customer’s approval;
- Modify the order with the customer’s approval; or
- Cancel the affected item and issue an appropriate refund.
We will not knowingly substitute materially different merchandise without customer approval.
11. Shipping + Freight Delivery
All shipping and delivery services are governed by the Shipping Policy, which is incorporated into these Terms.
Large outdoor furniture, fire features, planters, umbrellas, and related products may ship by freight rather than by standard parcel carrier.
The customer is responsible for reviewing the delivery method associated with the order.
Delivery service may include:
- Parcel delivery;
- Curbside freight delivery;
- Threshold delivery;
- Room-of-choice delivery;
- White-glove delivery;
- Assembly;
- Placement; or
- Another service specifically identified in the order.
Services not expressly identified in the order are not included.
Delivery Information + Access
The customer must provide accurate delivery information and disclose conditions that may affect delivery, including:
- Gated access;
- Security procedures;
- Narrow roads;
- Steep driveways;
- Weight restrictions;
- Low clearances;
- Limited truck access;
- Rural or remote locations;
- Ferry access;
- Restricted delivery hours;
- Stairs;
- Elevators;
- Long carries;
- Construction conditions; and
- Other access limitations.
A carrier may refuse to enter a property, driveway, road, or area that the carrier considers unsafe or inaccessible.
Additional services, alternative vehicles, labor, redelivery, storage, or special handling required because of undisclosed or unexpected access conditions may result in additional charges.
Delivery Appointments
For scheduled delivery, the customer or an authorized adult must be available during the agreed delivery window.
Missed appointments, refused deliveries without valid cause, inaccessible delivery locations, or inability to receive the shipment may result in:
- Redelivery fees;
- Storage charges;
- Return freight;
- Additional handling charges; or
- Other carrier costs.
Scope of Freight Delivery
Unless the order expressly includes additional service, standard freight delivery does not include:
- Moving the product through the property;
- Carrying it up stairs;
- Assembly;
- Installation;
- Anchoring;
- Utility connection;
- Removal of existing furniture;
- Packaging removal; or
- Disposal.
Title + Risk of Loss
Title to merchandise passes to the customer upon full payment.
Risk of loss passes to the customer when the carrier completes delivery at the contracted delivery point stated in the order, subject to the customer’s rights concerning documented freight damage, concealed damage, nonconforming merchandise, and other rights that cannot legally be waived.
For curbside delivery, the contracted delivery point is generally the curbside or other location the carrier can safely access.
For threshold, room-of-choice, white-glove, or other upgraded delivery, the contracted delivery point is the location included in the purchased service.
12. Inspection, Freight Damage + Damage Claims
The customer or customer’s authorized representative must inspect each shipment as thoroughly as reasonably possible at delivery.
This requirement is particularly important for freight shipments.
Visible Damage or Shortage
Before signing the delivery receipt, the recipient should:
- Examine the packaging;
- Count the items;
- Look for punctures, crushing, tears, water exposure, broken pallets, missing cartons, or opened packaging;
- Inspect the product when reasonably possible;
- Photograph the packaging and visible condition; and
- Note all visible damage or shortages on the carrier’s delivery receipt.
Signing a delivery receipt without noting visible damage may affect the ability to recover from the carrier or manufacturer.
When a shipment has severe visible damage, materially compromised packaging, or an apparent risk of significant product damage, the recipient should contact BOXHILL immediately and refuse the affected shipment when appropriate.
Damage to exterior packaging alone does not necessarily mean the product is damaged. When uncertain, document the condition carefully and contact BOXHILL.
Concealed Damage
Some damage cannot reasonably be discovered until the packaging is removed.
The customer must inspect the product promptly after delivery and submit concealed-damage documentation within the reporting period stated in the Damage Claim Policy.
Claim Documentation
A damage or shortage claim may require:
- Order number;
- Delivery receipt;
- Photographs of all sides of the packaging;
- Photographs of labels and shipping documents;
- Photographs or video of the damage;
- Description of the issue;
- Product serial or identification number;
- Confirmation that packaging has been retained; and
- Other information reasonably requested by BOXHILL, the carrier, or the manufacturer.
The customer must retain the product and all packaging until BOXHILL confirms that they may be discarded.
Do not repair, alter, install, discard, remove, return, or dispose of damaged merchandise without written instructions from BOXHILL.
Third-Party Costs
Do not incur third-party repair, labor, installation, removal, storage, transportation, or disposal expenses without BOXHILL’s prior written approval.
Unapproved costs may not be reimbursed, even when the underlying damage claim is otherwise valid.
Claim Resolution
Depending on the circumstances, available remedies may include:
- Replacement parts;
- Touch-up materials;
- Repair;
- Product replacement;
- Carrier inspection;
- Manufacturer review;
- Refund; or
- Another appropriate resolution.
The appropriate remedy will depend on the nature of the damage, product condition, availability, manufacturer requirements, carrier requirements, applicable warranty, and law.
Failure to follow reasonable inspection and documentation procedures may limit the ability to recover from a carrier or manufacturer. It does not eliminate rights that cannot legally be waived.
Normal material variation, expected outdoor weathering, minor manufacturing tolerances, and ordinary wear are not freight damage.
13. Returns, Exchanges + Cancellations

26. General Provisions
Entire Agreement
These Terms, the policies incorporated by reference, and the applicable quote, invoice, order confirmation, or signed agreement constitute the agreement between the customer and BOXHILL concerning the applicable website use or transaction.
They supersede prior or contemporaneous discussions concerning the same subject, except for an authorized written representation expressly incorporated into the transaction.
Order of Precedence
If documents conflict, the following order generally applies:
- A separately signed agreement;
- An accepted quote, proposal, or order confirmation;
- Product-specific written terms or manufacturer requirements;
- The Shipping, Return, Damage Claim, and Privacy Policies in effect for the transaction;

Severability
